Our firm’s transactional attorneys, who bring years of experience to each matter, strive to be careful, thoughtful critics and commentators.  From our perspective, it is as important to close each deal as it is to address the unique conditions of each transaction and not compromise our clients’ needs.  Our firm’s transactional work includes acquisitions, sales, financing, and the structuring of commercial and residential development.  We have a depth of experience in condominium and cooperative offering plans, homeowner associations, and commercial and residential leasing for both landlords and tenants.  We have also developed an expertise in affordable housing development representing developers not-for-profits, government agencies and lenders.  We have broad experience in the development of real property, working with clients on real estate tax abatement and exemption programs, transferable development rights, contracts with architects and contractors, building loan mortgages and other financing, partnership and limited liability companies. 

Our firm’s litigation department is concentrated in representing several of the major owners of commercial buildings in New York City -- and on this basis, a wide variety of other interests, including cooperative/condominium buildings and sponsors -- in the full gamut of disputes arising from the acquisition, redevelopment, and ongoing management of commercial properties, including disputes between sellers and purchasers, between lenders (traditional and state-of-the-art mezzanine) and borrowers, principals and brokers, and of course between landlords and tenants (including between fee owners and ground lessees).  While real estate disputes are most often addressed in the State Supreme Court or the Civil Court (Commercial Landlord-Tenant Part), and in their respective appellate courts, these disputes often spill-over into bankruptcy court or federal court -- and we are experienced in pursuing such litigation into those forums as well.  We also participate regularly in arbitrations, valuation proceedings, and mediations.

Our aim is to use our litigation experience to help our clients avoid or minimize litigation -- through due diligence review, advice on protective contract/lease drafting, formulating and pursuing settlement strategies, and if litigation is necessary, by trying to ‘structure’ the litigation to gain for our clients an early favorable position, so that our client can negotiate ‘from strength’.  We are sensitive to the fact that ‘time is money’ in the real estate world, and have been successful in adopting tactics to accelerate resolutions. We are particularly sensitive to the desire of our clients for a minimum of publicity and a maximum of confidentiality.

Our tax certiorari department represents owners, managing agents, receivers and mortgagees in their tax certiorari protests and other valuation claims throughout New York City.
